PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE WYGO APPLICATION. This End User License Agreement ("Agreement" or "Terms") is a legally binding contract between you ("User" or "you") and WYGO SRLS, with registered office at Via John Fitzgerald Kennedy 5, Naples 80125, Italy ("Wygo", "we", "us", or "our"). By downloading, installing, or using the Wygo mobile application ("the App"), you confirm that you are at least 18 years old, that you have read and understood this Agreement, and that you agree to be bound by it. If you do not agree to these Terms, do not download or use the App.

1. License Grant

Subject to your compliance with these Terms, Wygo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of the App on mobile devices you own or control, solely for your own personal, non-commercial purposes. This license does not include the right to: (a) distribute, resell, or sublicense the App; (b) copy, modify, adapt, translate, or create derivative works; (c) reverse-engineer, decompile, disassemble, or attempt to derive the source code; (d) remove, alter, or obscure any proprietary notices. The App is licensed, not sold, to you. Wygo retains all rights, title, and interest in and to the App not expressly granted in this Agreement.

2. Apple and Google — Platform Provider Terms

The App is made available through the Apple App Store and the Google Play Store. Your use of the App is also subject to the applicable platform provider's terms of service (Apple Media Services Terms and Conditions; Google Play Terms of Service). In the event of any conflict between this Agreement and the platform provider's terms, this Agreement will govern to the extent it concerns the relationship between you and Wygo. IMPORTANT — APPLE APP STORE: If you downloaded the App from the Apple App Store, you acknowledge and agree that: (a) This Agreement is concluded between you and Wygo only, not with Apple Inc. Apple is not a party to this Agreement and is not responsible for the App or its content. (b) Wygo, not Apple, is solely responsible for the App and its content. (c) Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App. (d) In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to failure to conform to any warranty are governed solely by this Agreement and applicable law. (e) Wygo, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. (f) In the event of any third-party claim that the App or your possession and use of the App infringes a third party's intellectual property rights, Wygo, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim. (g) Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

3. Eligibility and Account Registration

You must be at least 18 years old to use the App. By creating an account, you represent and warrant that you meet this age requirement. We verify your date of birth at registration and will terminate any account found to belong to a user under 18. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information; (c) keep your password confidential and not share it with anyone; (d) accept responsibility for all activity that occurs under your account; and (e) notify us immediately of any unauthorized access or use of your account at support@wygo-app.it. We reserve the right to reject, suspend, or terminate any account at our sole discretion.

4. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to: (a) Post or transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. (b) Harass, stalk, threaten, or intimidate other users. (c) Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity. (d) Post false, misleading, or fraudulent event information. (e) Distribute spam, unsolicited messages, chain letters, or pyramid schemes. (f) Distribute malware, viruses, or any other harmful code. (g) Interfere with or disrupt the App's servers, networks, or infrastructure. (h) Attempt to gain unauthorized access to any part of the App or other users' accounts. (i) Use automated tools (bots, scrapers) to access or collect data from the App without our written consent. (j) Violate any applicable local, national, or international law or regulation. (k) Use the App for any commercial solicitation without our express written consent. (l) Create fake profiles or use the matching feature in bad faith. We reserve the right to remove any content that violates these Terms and to suspend or terminate accounts of users who engage in prohibited conduct.

5. Events and Tickets

Wygo is a platform that connects event organizers with attendees. We do not organize events ourselves. (a) Organizer responsibility: Event organizers are solely responsible for the accuracy of event information, including dates, venues, capacities, and any requirements. Wygo does not verify event information and is not responsible for inaccuracies. (b) Ticket purchases: When you purchase a ticket through the App, you enter into a direct contract with the event organizer. Wygo acts as an intermediary platform and is not a party to that contract. (c) Refunds and cancellations: Refund eligibility for event tickets is determined by the organizer's cancellation and refund policy, which is displayed at the time of purchase. For ticket refund requests, contact the organizer or email support@wygo-app.it. (d) Event cancellation: If an event is cancelled by the organizer, any refund is the organizer's responsibility. Wygo may assist in facilitating communication but does not guarantee refunds. (e) Content moderation: Wygo may remove event listings that violate our community guidelines or applicable law. (f) Digital tickets: Tickets are delivered as QR codes within the App. You are responsible for presenting your QR code at the event. Wygo is not responsible for lost or stolen access credentials.

6. Payments and In-App Purchases

(a) Ticket payments: Ticket purchases are processed by Stripe, our third-party payment processor. By making a payment, you authorize the charge to your selected payment method. Wygo is not responsible for errors caused by Stripe or your financial institution. (b) In-app purchases — subscriptions and credits: The App offers optional premium subscriptions and credit packs ("Credits") purchasable through the Apple App Store (iOS) or Google Play Store (Android). All in-app purchases are processed by Apple or Google under their respective terms. By completing an in-app purchase, you agree to those terms. (c) Auto-renewable subscriptions: If you purchase an auto-renewable subscription: • Payment will be charged to your Apple ID or Google Play account at confirmation of purchase. • The subscription automatically renews unless auto-renewal is turned off at least 24 hours before the end of the current subscription period. • Your account will be charged for renewal within 24 hours before the end of the current period at the price confirmed at purchase. • You can manage and cancel your subscription at any time in your device's Account Settings (Apple: App Store > [your name] > Subscriptions; Android: Google Play > Subscriptions). • Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription. (d) Credits: Credits are virtual items that can be used to engage with the App's matching features (e.g., likes and boosts). Credits are non-transferable, have no cash value, cannot be exchanged for real money, and are not refundable except where required by applicable law. Credits do not expire as long as your account is active. (e) No refunds: All purchases are final and non-refundable except where required by applicable consumer protection laws. For in-app purchases made through Apple, refund requests must be submitted via Apple at reportaproblem.apple.com. For purchases made through Google Play, requests must be submitted via Google Play. (f) Price changes: We reserve the right to change subscription and credit prices at any time. We will notify you in advance of any price change. Continued use of the subscription after the price change takes effect constitutes your agreement to the new price.

7. User-Generated Content

(a) Your content: You retain ownership of content you create, upload, or submit through the App ("Your Content"), including profile photos, event reviews, comments, and chat messages. By submitting Your Content, you grant Wygo a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, and adapt Your Content solely for the purpose of providing, improving, and promoting the App. (b) Content standards: Your Content must not: (i) infringe any third party's intellectual property rights; (ii) be defamatory, obscene, or abusive; (iii) contain nudity or sexually explicit material; (iv) contain personal data of third parties without their consent; (v) violate any applicable law. (c) Content moderation: We use automated tools (including Google Cloud Vision SafeSearch) and human review to moderate content. We reserve the right to remove any content that violates these Terms without notice. (d) Reporting: You can report content that violates these Terms using the reporting feature in the App. We will review reports and take appropriate action. (e) No endorsement: We do not endorse any user-generated content and expressly disclaim any liability in connection with it.

8. Matching and Social Features

(a) Event-based matching: The matching feature allows ticket-holders for the same event to discover and connect with each other. By using this feature, you consent to your profile card (name, photo, biography) being displayed to other ticket-holders for events for which you hold a valid ticket, unless you disable this in Privacy Settings. (b) Mutual matching: A match is created only when both users have indicated mutual interest. Wygo does not guarantee any particular matching outcomes. (c) Communication: Matched users may communicate via in-app chat. You are responsible for your conduct in all communications. Harassment, abuse, or threatening behavior will result in immediate account suspension. (d) No guarantees: Wygo makes no representations about the identity, character, or intentions of other users. You interact with other users at your own risk. (e) Blocking and unmatching: You can block or unmatch any user at any time. Blocking is mutual and permanent unless reversed by both parties.

9. Privacy

Your use of the App is subject to our Privacy Policy, which is incorporated into this Agreement by reference and is available within the App and at wygo-app.it. By using the App, you consent to the collection, use, and sharing of your personal data as described in the Privacy Policy. Data export: You have the right under GDPR Art. 20 to receive a copy of your personal data in machine-readable format. To exercise this right, email privacy@wygo-app.it with the subject line "Data Portability Request".

10. Intellectual Property

(a) Wygo's property: The App, including its software, design, graphics, text, images, trademarks, and service marks (collectively, "Wygo IP"), is owned by or licensed to Wygo and is protected by applicable intellectual property laws. Nothing in this Agreement transfers any ownership of Wygo IP to you. (b) Feedback: If you submit ideas, feedback, or suggestions about the App ("Feedback"), you grant Wygo an irrevocable, perpetual, royalty-free, worldwide license to use that Feedback for any purpose without any obligation to you. (c) Third-party IP: If you believe that content in the App infringes your intellectual property rights, please contact us at support@wygo-app.it.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WYGO EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Wygo does not warrant that: (a) the App will be uninterrupted, timely, secure, or error-free; (b) the results obtained from using the App will be accurate or reliable; (c) any errors in the App will be corrected. Where consumer protection laws in your jurisdiction do not permit the exclusion of implied warranties, the above exclusions apply to the fullest extent permitted by law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) Wygo and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, goodwill, or other intangible losses, arising from: (i) your use of or inability to use the App; (ii) any content posted by other users; (iii) your reliance on any information provided through the App; or (iv) any events organised by third parties. (b) Wygo's total cumulative liability to you for all claims arising from or relating to this Agreement or the App will not exceed the greater of: (i) the amount you paid to Wygo (excluding amounts paid to Apple or Google) in the twelve (12) months preceding the claim; or (ii) EUR 50. (c) The limitations in this section apply regardless of the legal theory on which the claim is based. Some jurisdictions (including EU member states) do not allow limitations on certain types of liability; in such jurisdictions, the foregoing limitations apply to the fullest extent permitted by law. Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Maintenance and Support

Wygo is solely responsible for providing maintenance and support services for the App, as required by applicable law or these Terms. Apple and Google have no obligation whatsoever to furnish any maintenance or support services with respect to the App. We may update, modify, or discontinue the App (or any part of it) at any time without prior notice. We are not liable for any modification, suspension, or discontinuance of the App.

14. Termination

(a) By you: You may stop using the App and delete your account at any time through Profile → Settings → "Delete Account". Deleting your account terminates this Agreement with respect to your use of the App. (b) By us: We reserve the right to suspend or terminate your access to the App immediately and without notice if: (i) you breach any provision of these Terms; (ii) we are required to do so by law; (iii) you engage in conduct that is harmful to other users or the platform; or (iv) we cease to provide the App. (c) Effect of termination: Upon termination, your license to use the App immediately ceases. Provisions of these Terms that by their nature should survive termination will survive, including Sections 10 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 15 (Governing Law), and 16 (Dispute Resolution).

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by: (a) updating the "Last updated" date at the top of these Terms; and (b) sending an in-app notification or email at least 14 days before the changes take effect. Your continued use of the App after the effective date of updated Terms constitutes your acceptance of those Terms. If you do not agree with the updated Terms, you must stop using the App and delete your account.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Italy, excluding its conflict-of-law provisions. Any disputes arising from or relating to these Terms or the App will be subject to the exclusive jurisdiction of the competent courts of Naples, Italy, without prejudice to any mandatory consumer protection rights you may have under the law of your country of residence within the European Union. EU Consumer Dispute Resolution: If you are a consumer resident in the European Union and are not satisfied with how we have handled a complaint, you may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
